Terms of Service
These Terms of Service (“Terms”) govern your access to and use of AiNecto, a service provided by Codelive, Inc. (“Codelive,” “we,” “us,” or “our”).
By creating an account, accessing, or using AiNecto, you agree to these Terms. If you do not agree, do not use AiNecto.
If you are located in the Republic of Korea, the Korean Terms of Service will apply to your use of AiNecto. If there is a conflict between these Terms and the Korean Terms for Korean users, the Korean Terms will apply to the extent of that conflict.
1. The Service
AiNecto is an AI-powered development support platform. The Service may include websites, applications, APIs, MCP connections, AI features, external integrations, documentation, and related services.
AiNecto starts with AiNecto ERD. Additional products, such as AiNecto Diagram, AiNecto Readme, AiNecto ToDo, AiNecto Test, AiNecto Security, and future AiNecto products, may be added over time.
We may update, improve, limit, suspend, or discontinue parts of the Service for operational, security, legal, product, or business reasons. If a change materially affects your use of a paid Service, we will provide reasonable notice where practical.
Beta, preview, experimental, or early access features may be changed, limited, or discontinued at any time.
2. Accounts
You must provide accurate account information and keep it up to date.
You are responsible for your account, credentials, OAuth connections, API keys, access tokens, and activity under your account.
You may not share or use accounts in a way that avoids payment obligations, usage limits, security controls, or plan restrictions.
You must be at least 18 years old, or the age of legal majority in your jurisdiction, whichever is higher, to access or use AiNecto. You must also not be below any applicable minimum age under the data protection laws and regulations of your jurisdiction.
AiNecto is not directed to, and may not be used by, anyone who does not meet the applicable age requirements above.
If you use AiNecto on behalf of an organization, you represent that you are authorized by that organization to access and use the Service and to accept these Terms on its behalf.
If any of the above statements is not true, you must not access or use AiNecto for any purpose.
3. User Content
“User Content” means materials that you submit to, generate through, store in, or process using AiNecto, including prompts, schemas, SQL, ERDs, diagrams, code, documents, tests, security findings, tasks, files, metadata, and comments.
You retain your rights in your User Content. These Terms do not transfer ownership of your User Content to Codelive.
You allow Codelive to host, store, process, transmit, display, transform, analyze, and use User Content only as needed to provide, secure, support, maintain, and improve the Service, comply with law, and enforce these Terms.
You are responsible for ensuring that you have the rights and permissions needed to submit User Content to AiNecto.
Do not submit passwords, private keys, payment information, sensitive personal data, regulated health information, government identification numbers, children’s personal data, or other highly sensitive information unless we expressly permit it in writing.
4. AI Features and Outputs
AiNecto may use AI features to generate, analyze, explain, transform, or suggest development-related outputs.
“AI Output” means any result generated or suggested by AI features, including diagrams, schemas, explanations, documentation, tests, security suggestions, tasks, or code-related materials.
AI Output may be inaccurate, incomplete, outdated, or unsuitable for your intended use. You are responsible for reviewing, testing, validating, and deciding whether to use AI Output.
Do not rely on AI Output as the sole basis for production deployment, security decisions, legal compliance, financial decisions, or other important decisions.
Unless you expressly opt in or a separate written agreement says otherwise, we do not use your User Content to train Codelive’s AI models.
Similar or identical AI Output may be generated for other users.
5. Third-Party Services and Integrations
AiNecto may allow you to connect third-party services, such as GitHub, GitLab, Bitbucket, Google, Microsoft, AI providers, payment providers, and other developer tools.
If you connect a third-party service, you authorize Codelive to access, process, store, transmit, and synchronize information from that service as needed to provide the integration and according to the permissions you grant.
Third-party services are not controlled by Codelive. Your use of third-party services is governed by their own terms, policies, and settings.
Codelive is not responsible for third-party services, including their availability, security, data practices, or changes.
6. Acceptable Use
You may not use AiNecto to:
- violate any law, regulation, third-party right, or these Terms;
- access or use another person’s account, data, credentials, tokens, or systems without authorization;
- upload malware, conduct phishing, attack systems, bypass security controls, or disrupt the Service;
- reverse engineer, scrape, crawl, copy, or extract the Service in a way that infringes Codelive’s rights or compromises security;
- misuse the Service to obtain Codelive’s trade secrets, internal systems, prompts, algorithms, security mechanisms, or non-public technical information;
- improperly use AiNecto, its outputs, or non-public features to develop a competing service;
- abuse free plans, promotions, credits, referrals, billing systems, or usage limits;
- use AiNecto to attack, scan, exploit, or test systems without proper authorization;
- submit unlawful, infringing, harmful, deceptive, or rights-violating content.
We may investigate suspected violations and may suspend or restrict access where reasonably necessary to protect AiNecto, users, or third parties.
7. Paid Services, Subscriptions, and Credits
AiNecto may offer free plans, paid subscriptions, team plans, credits, add-ons, promotions, and launch offers.
Prices, features, usage limits, renewal terms, and plan details will be shown on the pricing page, checkout page, account settings, or other applicable service screens.
Paid subscriptions may automatically renew unless canceled before the renewal date. We will provide renewal, billing, and cancellation information as required by applicable law and the checkout flow.
Payments may be processed by Paddle.com Market Limited or another payment provider. The payment provider’s terms and policies may apply to the payment process.
Our order process may be conducted by our online reseller Paddle.com. For applicable paid orders, Paddle.com is the Merchant of Record. Paddle provides payment processing, tax calculation, invoicing, payment-related customer service, and return or refund handling in accordance with Paddle’s applicable buyer terms and policies.
Credits are not money, do not accrue interest, are not transferable, and are not redeemable for cash unless required by law or expressly stated by us.
We may change prices, plan features, or usage limits from time to time. If a change materially affects your current paid plan, we will provide reasonable notice before the change applies.
8. Cancellation and Refunds
You may cancel a paid subscription through your account settings or another method we make available.
Unless otherwise stated, cancellation stops future renewals but does not automatically refund the current billing period.
Refunds may be limited where you have started using paid features, consumed credits, generated paid outputs, exported paid materials, or otherwise received the paid Service.
We may provide refunds where required by law, for duplicate payments, clear billing errors, or where we separately approve a refund.
Refunds are subject to applicable law, Paddle’s buyer refund policy, and the refund policy displayed on our website. Nothing in these Terms limits any mandatory consumer rights.
9. Ownership and Feedback
Codelive and its licensors own all rights in AiNecto, including the Service, software, interfaces, design, templates, documentation, trademarks, logos, systems, and related technology.
Except for the limited right to use AiNecto under these Terms, no rights are transferred to you.
If you provide feedback, suggestions, ideas, bug reports, or feature requests, we may use them to improve AiNecto without obligation to you.
10. Privacy and Data Protection
Our handling of personal information is described in our Privacy Policy.
If you use AiNecto on behalf of an organization, you are responsible for ensuring that your use of AiNecto complies with your organization’s privacy, security, and data protection obligations.
For business or enterprise customers, a separate data processing agreement or written agreement may apply.
11. Suspension and Termination
You may stop using AiNecto at any time and may delete your account where the Service provides that option.
We may suspend or terminate your access if you violate these Terms, fail to pay amounts due, create security or legal risk, misuse the Service, or if continued access could harm Codelive, users, or third parties.
Where we reasonably believe that a violation of these Terms, our Acceptable Use rules, or other applicable policies can be resolved by removing specific User Content, changing settings, disconnecting an integration, or taking other corrective action, we may ask you or the relevant workspace or organization administrator to take such action before we intervene directly.
However, if appropriate action is not taken, or if we reasonably believe there is a credible risk of harm to AiNecto, Codelive, the Service, other users, third-party services, payment systems, or any third party, we may take action directly. Such action may include removing or restricting access to content, limiting features, disabling integrations, suspending access, or disabling an account.
After termination, provisions that by their nature should survive will continue to apply, including provisions on User Content, payment obligations, ownership, disclaimers, liability, dispute resolution, and governing law.
Deleted User Content may remain in routine backups for up to 90 days unless a longer period is required by law, security, or legitimate operational needs.
12. Disclaimers
AiNecto is provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, Codelive does not make warranties about the Service’s availability, accuracy, reliability, security, fitness for a particular purpose, or non-infringement.
We do not warrant that AiNecto will be uninterrupted, error-free, secure, or that AI Output will be accurate, complete, unique, or suitable for your intended use.
Nothing in these Terms limits rights that cannot be limited under applicable law.
13. Limitation of Liability
To the maximum extent permitted by law, Codelive will not be liable for any lost profits, lost revenues, lost data, business interruption, loss of goodwill, or any indirect, special, incidental, consequential, cover, exemplary, or punitive damages, however caused, whether in contract, tort, or under any other theory of liability, and whether or not Codelive has been advised of the possibility of such damages.
To the maximum extent permitted by law, Codelive’s maximum aggregate liability for claims relating to the Service or these Terms will not exceed USD $100.
The foregoing limitations do not apply to the extent prohibited by applicable law, including liability arising from intentional misconduct or gross negligence where such liability cannot be limited. Nothing in these Terms limits either party’s right to seek equitable relief where available.
14. Governing Law and Disputes
These Terms are governed by the laws of the Republic of Korea, without regard to conflict of law rules.
The parties will first try to resolve disputes in good faith through informal discussions.
If a dispute cannot be resolved informally, the courts with jurisdiction under applicable Korean law will have jurisdiction, unless applicable consumer protection laws provide otherwise.
15. Changes to These Terms
We may update these Terms from time to time.
If we make material changes, we will provide reasonable notice, such as by posting the updated Terms, notifying you in the Service, or sending an email.
Your continued use of AiNecto after the effective date of updated Terms means you agree to the updated Terms. If you do not agree to the updated Terms, you must stop using AiNecto.
